Terms of service

Effective Date: 17 June 2025

Thank you for choosing Formula Foundry (“Add‑on”, “Service”, “we”, “our”, “us”). These Terms of Use (“Terms”) govern your access to and use of the Formula Foundry Google Sheets add‑on, related websites located at https://www.formulafoundry.io (“Site”), and any associated services. By installing, accessing or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old (or older if required by the laws of your jurisdiction) and have the legal capacity to enter into these Terms. By using the Service you represent that you meet these requirements.

2. Description of Service

Formula Foundry is a productivity add‑on for Google Sheets™ that provides:

  • A rich formula editor with Monaco IDE features
  • Excel‑style syntax conversion to Google Sheets™ formulas
  • Variable management via a hidden sheet (Variables_XXXXX)
  • A visual formula builder
  • AI‑powered assistance

We may update or discontinue features at our sole discretion.

3. Google Account & Permissions

The Add‑on operates inside your Google Workspace™ environment and requires the following OAuth scopes at installation:

  • https://www.googleapis.com/auth/script.container.ui – display custom menus, sidebars and dialogs inside the spreadsheet UI.
  • https://www.googleapis.com/auth/external_request – make external requests to third-party services.
  • https://www.googleapis.com/auth/spreadsheets.currentonly – read and write only to the spreadsheet you have open when you run Formula Foundry. We do not request broad Drive or global Sheets permissions.
  • https://www.googleapis.com/auth/userinfo.email and https://www.googleapis.com/auth/userinfo.profile – identify you for licensing, personalization and support.

We also enable the Google People API (v1) exclusively to retrieve your own Google profile (avatar and display name). We never access your contacts.

We use these permissions solely to provide core functionality and never to examine or alter data outside the active spreadsheet. Your data remain in your Google account and are not transferred to our servers, except as specifically described in the Privacy Policy.

4. License Grant

We grant you a limited, non‑exclusive, revocable, non‑transferable license to use the Service for your internal business or personal purposes, subject to these Terms.

5. User Responsibilities

  • Compliance. Use the Service in compliance with all applicable laws, regulations and Google Workspace Marketplace policies.
  • Prohibited Conduct. You must not (a) reverse engineer or decompile the Service; (b) interfere with or disrupt the Service or its security; (c) use the Service to transmit harmful or illegal content; (d) share, sell or sublicense the Service without permission.

6. Intellectual Property

All intellectual‑property rights in the Service, including software, documentation, branding and content, remain with Formula Foundry, LLC or its licensors. You retain ownership of formulas and spreadsheet data you create.

7. Feedback

If you send ideas, suggestions or other feedback, you grant us a perpetual, worldwide, royalty‑free right to use that feedback without restriction.

8. Third‑Party Services

The Service may link to or integrate with third‑party services (e.g., OpenAI API for AI assistance). We do not control third‑party services and are not responsible for their content or practices.

9. Disclaimers

The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non‑infringement. We do not warrant that the Service will be error‑free or uninterrupted.

10. Limitation of Liability

To the fullest extent permitted by law, Formula Foundry and its affiliates are not liable for any indirect, consequential, special or punitive damages, or for any loss of profits, data or goodwill, arising out of or related to your use of the Service. Our aggregate liability shall not exceed $100 USD or the amount you paid us in the 12 months preceding the claim, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Formula Foundry, its officers, employees and agents from any claims arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms. Upon termination, Sections 6–13 survive.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts‑of‑law principles. All disputes shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to their jurisdiction.

14. Changes to Terms

We may modify these Terms by posting an updated version on the Site or within the Add‑on. Material changes will take effect 30 days after posting; minor changes are effective immediately. Your continued use after the effective date constitutes acceptance.
